By accessing or using Carelinkn's platform, mobile applications, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Carelinkn LLC.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Not be prohibited from using our Services under applicable law
• For healthcare professionals: Hold valid, unencumbered licenses and certifications in your jurisdiction

You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Keeping your profile and credentials information current

Important: Healthcare professionals must maintain active, valid licenses. Failure to do so may result in immediate account suspension.

Carelinkn provides a technology platform that connects healthcare professionals (primarily nurses) with healthcare facilities and patients requiring care services. Our Services include:

• Job matching and staffing coordination
• Credential verification and management
• Scheduling and visit management
• Payment processing and earnings management
• Communication tools between parties
• Continuing education resources

Disclaimer: Carelinkn is a technology platform and not a healthcare provider, staffing agency, or employer. We facilitate connections but are not responsible for the quality of care provided.

As a healthcare professional using our platform, you agree to:

You acknowledge that you are an independent contractor, not an employee of Carelinkn. You are responsible for your own taxes, insurance, and compliance.

As a healthcare facility or discharge planner, you agree to:

For Healthcare Professionals:

• Earnings are based on completed and verified visits
• Payments are processed weekly via direct deposit
• Platform service fees may apply as specified in your agreement
• You are responsible for all applicable taxes

For Facilities:

• Rates are determined based on service type and urgency
• Payment is due within 30 days of invoice
• Late payments may incur additional fees

All fees and payment terms are subject to your specific service agreement with Carelinkn.

You agree NOT to:

• Use the platform for any unlawful purpose
• Provide false or misleading information
• Impersonate another person or entity
• Interfere with platform security or functionality
• Attempt to access other users' accounts
• Use automated systems to access the platform
• Harass, abuse, or threaten other users
• Violate patient privacy or HIPAA regulations

Violation of these terms may result in immediate account termination and legal action.

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, and software, are owned by Carelinkn and protected by intellectual property laws.

You may not copy, modify, distribute, or create derivative works without our written permission.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARELINKN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.

Our total liability shall not exceed the amount paid by you to Carelinkn in the twelve (12) months preceding the claim.

We are not responsible for the actions, errors, or omissions of any healthcare professional or facility using our platform.

You agree to indemnify, defend, and hold harmless Carelinkn, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including attorney fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any healthcare services you provide or receive through the platform

We may suspend or terminate your account at any time for any reason, including violation of these Terms. You may also terminate your account at any time.

Upon termination:

• Your right to use the Services immediately ceases
• Any pending payments will be processed according to our policies
• We may retain your data as required by law or for legitimate business purposes

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

Arbitration shall take place in Pittsburgh, Pennsylvania, and the decision shall be final and binding.

Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class action lawsuits.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or platform notification at least 30 days before they take effect.

Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
